Decision of the FAS Russia on Alstom/Bombardier merger

In accordance with the Article 33 of the Federal Law of the Russian Federation dated July 26, 2006 No. 135-FZ “On Protection of Competition” (hereinafter - the Law on Protection of Competition) the Federal Antimonopoly Service of the Russian Federation (FAS Russia) considered the application of a foreign legal entity Alstom SA (located: 48 rue Albert Dalenne, 93400 Saint-Ouen-sur-Seine, France; main activity – the conduction of industrial, commercial, marine, financial activities and real estate transactions in France and other foreign countries) on the acquisition of rights allowing to determine the conditions for carrying out entrepreneurial activities registered in the territory of the Russian Federation by the limited liability company “Bombardier Transportation (Rus)” (TIN 7701527126, location: Prospect Mira, building 101, building 2, room 24, Moscow, 129085; the main activity is market research and public opinion research) and the limited liability company “First locomotive company” (TIN 7724856600, location: Novaya Basmannaya street, house 23B, building 20, room 406, Moscow, 107078; the main activity is the production of railway locomotives and rolling stocks).
The application was filed on April 30, 2020 in accordance with the Article 28 of the Law on the Protection of Competition. The FAS Russia concluded that the transaction will not restrict competition in Russia.
Guided by the paragraph 1 of part 2 of the Article 33 of the Law on Protection of Competition, the FAS Russia made a decision to approve this merger.
