THE FAS RUSSIA IS CONSIDERING ACQUISITION OF NUTRIENT ADDITIVES PRODUCTION BY COSMETIC FLAVORINGS COMPANY

Interested parties can inform the FAS Russia on the impact of the transaction on the state of competition in the relevant commodity markets

The FAS Russia is considering an application of the company International Flavors and Fregransiz Inc. (IFF)1 on prior approval of the acquisition of rights to set the conditions for conducting business activities of CJSC Danisco 2, filed under the Law on Protection of Competition3.

IFF plans to acquire 100% of the shares of the company Nutrishen and Biosaensis, Inc.4, which is being separated from corporation DuPont5, which is transferring its business in the field of nutrient additives and biotechnologies.

IFF mainly operates in the production and sale of flavorings and fragrance components, as well as active ingredients for cosmetic products, while the business of DuPont is focused on the production of food technology products and ingredients to improve taste and texture.

The deal will allow IFF to combine existing scientific achievements in the production of flavorings, natural dyes, and fragrance components with the expertise business of DuPont to improve texture, food additives, enzymes, crops, plant proteins, and probiotics.

Interested parties have the right6 to submit to the Antimonopoly authority information on the impact of the transaction on the state of competition in the relevant product markets. The FAS Russia asks interested business entities to assess the risks and consequences for their business activities, taking into account possible changes in the commodity markets resulting from the transaction in the Russian Federation.
