FAS APPROVED THE PETITION OF CLUB-HOTEL LLC ABOUT THE ACQUISITION OF THE RUSSIAN BUSINESS McDONALD'S

Club-Hotel plans to purchase 100% of the authorized capital of DVRP LLC and McDonald's LLC from the American company McDonald's Corporation.

These organizations operate 719 Russian fast food restaurants under the brand McDonald's. The acquirer manages another 25 such restaurants (under a franchise) and 10 catering facilities under other trademarks.

Due to the fact that the catering markets are local, the assessment of the impact of the transaction on competition was carried out in the regions of the companies' presence.

According to the Authority, the deal will not lead to a restriction of competition in the market of catering services. It will save jobs for employees and ensure the further activities of the system-forming organization within the country.

*As part of the transaction, the acquirer will grant the seller (McDonald's Corporation) an option to repurchase 100% of the shares for 15 years at a price determined on the basis of fair market value.
